1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and AI Edit ("we," "us," "our," "Company," or "Service," as applicable) regarding access, browsing, and use by users ("User," "Users," or "you," as applicable) of our Service available at aiedit.com, app.aiedit.com, aiedit.ai, app.aiedit.ai, and any related subdomains ("Website"), including the applications, services, and editing software provided ("Services"), downloading and use of content.

By accessing or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using our Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Service Description

AI Edit provides AI-powered image and video generation and editing services, including but not limited to:

• Video Generation: Creating videos from text descriptions and/or attached images
• Video Continuation: Continuing videos from text descriptions and attached videos
• Image Generation: Creating images from text prompts, images, and sketches
• Remixing: Creating 4-9 variations of the uploaded image in one generation and upscaling one of them
• Image Editing: Modifying images using AI with custom prompts
• Inpainting: Replacing selected areas of images with AI-generated content
• Object Removal: Intelligently removing unwanted objects from images
• Background Change/Removal: Modifying or removing image backgrounds
• Image Expansion: Expanding image beyond their borders to fit more aspect ratios
• Image Upscaling: Enhancing image resolution and quality
• Photo Restoration: Repairing old or damaged photos
• Virtual Try-on: Digital try-on of clothing and accessories by visualizing products before purchase
• Virtual Try-off: View of items off the body, focusing on design and detail, without physical wear
• Panorama Generation: Creating 360-degree panoramic views from images
• Chat Mode: Conversational AI assistant supporting multi-modal interactions for image and video operations

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without notice.

3. User Accounts

Account Creation

To access all features of AI Edit, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

AI Edit offers an option to register and sign in using Google Authorization.

For email-based registration, email verification is required to activate your account.

Age Requirements

You must be of legal age to use AI Edit: to contract our Service and validly accept the relevant Terms of Service.

Account Security

You are responsible for maintaining the confidentiality of your account credentials. We are not liable for any loss or damage arising from your failure to protect your account information.

4. Acceptable Use Policy

You agree to use AI Edit only for lawful purposes and in accordance with these Terms. You agree to:

• Comply with all applicable laws and regulations
• Respect the rights of others, including privacy and intellectual property rights
• Use the Service in good faith and not attempt to circumvent any limitations
• Not use the Service in any way that could damage, disable, or impair our servers
• Not attempt to gain unauthorized access to any part of the Service

5. Prohibited Uses

You may not use AI Edit in the following cases:

Create Harmful Content

• Generate and/or edit images and/or videos that are illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
• Create content that promotes violence, terrorism, or illegal activities
• Generate images and/or videos that infringe on intellectual property rights
• Create deepfakes or misleading content intended to deceive others

Inappropriate Content

• Generate or edit sexually explicit or pornographic content
• Create content involving minors in inappropriate contexts
• Generate images and/or videos that promote discrimination or hate speech

Technical Violations

• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated systems or bots to access the Service
• Circumvent usage limits or access restrictions
• Attempt to probe, scan, or test vulnerabilities in our systems
• Share your account with others or resell access to the Service

6. User Content

Users can upload text, images, videos, and sketches ("Input"), which the AI Services process to generate images and videos ("Output").

Content Ownership

You retain ownership of the original images and videos you upload to AI Edit. For AI-generated or edited content:

• You own the rights to images and videos you create using our Service, subject to these Terms
• You are responsible for ensuring you have the right to use any uploaded content
• You grant us a limited license to process your content as necessary to provide the Service

Content License

By uploading content to AI Edit, you grant us a worldwide, non-exclusive, royalty-free license to:

• Process, store, and display your content as necessary to provide the Service
• Create backups and archives for operational purposes
• Delete your content in accordance with our data retention policies

This license ends when you delete your content or account, except as required for operational purposes or legal compliance.

Content Responsibility

You are solely responsible for:

• The content you upload, generate, or edit using our Service
• Ensuring your content complies with all applicable laws
• Obtaining necessary permissions for any third-party content
• Any consequences arising from your use of generated content

7. Intellectual Property Rights

Our Intellectual Property

AI Edit, its original content, features, and functionality, and all domain names connected to the Service are owned by us and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written consent.

Third-Party Rights

• AI models may have been trained on publicly available data
• Generated content may inadvertently resemble existing works
• You are responsible for verifying that your use of generated content does not infringe on third-party rights
• We do not guarantee that generated content is free from third-party claims
• Some prompts for generating images and videos for our Gallery were found on the Internet. We express our gratitude to the talented authors.

8. Payments and Subscriptions

Pricing and Payment

• Our current pricing is displayed on the Website and may change at any time
• Payments are processed through secure third-party payment provider (Stripe)
• All purchases are final and non-refundable unless otherwise required by law
• All prices for our Services do not include tax. Any applicable tax will be added during the payment process with Stripe. You are responsible for any taxes associated with your purchase.

Generation Credits

• Access to AI Services for users is regulated by a credit system. The use of AI Products on the Website is limited to the number of usage credits ("Credit" or "Credits", as applicable) available to each User per month, based on the Subscription Plan the User has purchased. Each action taken with the AI Services will deduct a specific number of Credits from the User's account. Credits are deducted upon successful completion of a generation job or if the user cancels an active generation. Credits are not deducted if the system fails to deliver the generated image or video.
• Details regarding the quantity of available Credits, Credits usage history, and the cost of Credits for each operation of the AI Services can be found in the User account settings ("Manage Account"), under the tabs "Usage History," "Image Costs," and "Video Costs". When the User has reached the number of available Credits, the corresponding information will be displayed in User account.
• Monthly Credits available to each User will be reset after a month upon Plan renewal or in case of purchasing a different Plan (upgrade/downgrade).
• Unused monthly Credits are not refundable and not transferable to the following months.
• Any Credits used during generation attempts are not refundable. This policy applies regardless of user satisfaction with the outcome, as results are solely dependent on AI models and algorithms.
• Any Credits cannot be transferred between accounts.
• Top-up Credit packages are available for Users to purchase to get more Credits if the Сredits included in the User's Subscription plan are insufficient. Additional Credits are not refundable. Additional Credits do not expire. Additional Credits require an active Subscription to be used.

Billing Disputes

If you have any billing disputes or concerns, please contact us at [email protected] within 14 days of the charge. We will work with you to resolve the issue promptly.

9. Disclaimers and Limitations

Service Disclaimer

AI Edit is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Quality and Availability of AI Services

The Company strives to provide continuous and reliable access to AI Services. However, the User acknowledges and consents to the following:

• AI Products may undergo modifications in functionality, algorithms, interfaces, or performance without advance notice
• There may be temporary or permanent disruptions in service due to maintenance, updates, or external circumstances
• The Company does not assure the quality, stability, availability, accuracy, or reliability of AI Services and the Outputs
• The Company retains the right to alter, suspend, or terminate the AI Products, either in whole or in part

No Guarantee of Results

The Outputs are created using artificial intelligence models. Similar outputs might be produced by various Users. We do not assure the uniqueness of the Output or that it will not be replicated by other Users of the service.

We also do not guarantee that:

• The Service will meet all your requirements or expectations
• Generated content will be accurate, complete, or error-free
• The Service will be uninterrupted, secure, or error-free
• Any defects or errors will be corrected

Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses arising from your use of or inability to use the Service (including those related to User Content and unauthorized access).

The Company is not liable for errors in content, personal injury, unauthorized access to servers, service interruptions, or any malicious software. Loss of User Content or issues caused by third-party actions are also excluded.

The Service might include links to websites or services that are not owned by the Company. The Company does not support or take responsibility for any content from third parties. The Company's Terms and Privacy Policy do not extend to these sites. Accessing them is done at your own risk. Any interactions with advertisers are strictly between you and them, and the Company is not responsible for any resulting loss or damage. You hold the Company harmless from any liability connected to third-party usage.

The Company is not responsible for any damages from modifications to User or AI Edit Content, regardless of the basis for liability claimed. This limitation applies even if the possibility of such damages was known and is enforceable to the extent permitted by law.

Our total liability for any claims under these Terms shall not exceed the amount you paid us in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless AI Edit, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you upload, generate, or distribute using the Service
• Unauthorized entry to the Service using your credentials
• Breach of laws or regulations

11. Termination

Termination by You

You may terminate your account at any time by:

• Deleting your account through the account settings
• Contacting us at [email protected]

Termination by Us

We may suspend or terminate your account immediately, without prior notice, if:

• You breach these Terms
• We believe your actions may harm other users or the Service
• We are required to do so by law
• You engage in fraudulent or illegal activities

Effects of Termination

Upon termination:

• Your right to access and use the Service will immediately cease
• We may delete your account and associated data, including all uploaded files, generated content, and chat history stored on our servers
• You remain liable for any outstanding payments
• Provisions that should survive termination will remain in effect

12. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes:

• We will update the "Last Updated" date at the top of this page
• Your continued use after changes constitutes acceptance of the new Terms

If you do not agree to the modified Terms, you must stop using the Service.

13. Governing Law and Disputes

Governing Law

These Terms shall be governed by Lithuanian Law. Unless the relevant law specifies a particular jurisdiction, any disputes related to these Terms will be settled by the Courts of Vilnius (Lithuania), and the parties explicitly renounce any other applicable jurisdiction.

Dispute Resolution

Prior to initiating any formal claim against AI Edit, you are required to attempt to resolve the dispute informally by contacting our support team at [email protected]

We believe in resolving issues amicably and, to this end, we will also strive to address the dispute informally by reaching out to you via email.

Class Action Waiver

You agree that any disputes will be resolved individually and not as part of a class action or representative proceeding.

14. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AI Edit regarding the use of our Service.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights under these Terms without restriction.
